The following terms and conditions (the "Terms") govern all use of the LimeX website owned by Lime FinTech, LLC, and any other website operated by LimeX or its affiliates, any related mobile device applications, and any products and services available through them (collectively, the "Service").
The Terms describe your rights and responsibilities and form a legally binding agreement between LimeX and you. By using any part of the Service, you agree that you are at least eighteen (18) years old and agree to be bound by these Terms. If you do not agree, you must not use or access the Service.
We reserve the right to modify or replace these Terms at any time. Your continued use of the Service after changes are posted constitutes acceptance of those changes.
Please read these Terms carefully. They contain important information regarding your legal rights, remedies and obligations, including limitations and exclusions, dispute resolution provisions, and a waiver of rights to bring class action claims.
1. Registration Data and Account Security
As a condition to using parts of the Service, you may be required to register an account and provide information about your identity, company, or investments. You agree to provide accurate, current and complete information, maintain the security of your credentials, keep your information updated, and accept responsibility for activity under your account.
You are responsible for maintaining the confidentiality of your Registration Data. If you become aware of unauthorized use of your account, notify us immediately at alphabuilder@limex.com.
2. Access to the Service
Subject to your compliance with these Terms, LimeX grants you a limited, revocable, nonexclusive license to access and use the Service and its content for personal internal use. Collection, aggregation, copying, scraping, data mining, or derivative use requires prior written permission from LimeX, except for limited use by general-purpose search engines and non-commercial public archives.
3. Regulatory Compliance
You agree to ensure that information disseminated through the Service complies with all applicable laws, rules, regulations and governmental acts, including securities laws, SEC regulations, FINRA regulations, and rules of national securities exchanges.
4. Paid Products or Services
LimeX may offer paid products or services on a subscription or as-used basis. If you purchase them, you are responsible for paying the applicable prices and keeping a valid payment method on file. Prices and fees may change as described on the Site.
Free trials or introductory offers may be limited to one per user, person, household, and email address during the period stated in the offer.
5. Payment Policies
Purchases may be processed by third-party payment processors. Payment processing is subject to their terms and privacy policies in addition to these Terms. You agree to pay all charges at the prices in effect at the time of purchase.
Subscription fees are prepaid for the applicable subscription period and, except as provided in these Terms or required by law, are non-refundable. You may cancel through your account or by contacting alphabuilder@limex.com. Access continues until the end of the current paid period.
You are responsible for all taxes, duties, and governmental assessments associated with your use of the Service.
6. Site Content
All postings, messages, text, images, video, or other materials made available through the Service are the responsibility of the person or entity from whom they originated. You may encounter content that is inaccurate, misleading, offensive, or objectionable and bear the risks associated with using it.
Content and products created by third parties contain their own opinions and do not constitute a recommendation that any security, portfolio, transaction, or investment strategy is suitable for any person.
7. User Content Posted on the Service
You are solely responsible for content you post, transmit, or share through the Service. You must not submit content that infringes rights, violates law or contractual duties, is false or misleading, harasses others, impersonates another party, collects information without consent, contains sensitive financial information, or constitutes unauthorized advertising.
LimeX may refuse, delete, or remove User Content at its discretion. By posting User Content, you grant LimeX the rights needed to host, display, distribute, promote, and operate the Service, while retaining ownership of your User Content subject to those granted rights.
8. Blogs
The Service may provide tools for users to develop and operate Blogs. Blog owners are responsible for their content, claims, warranties, user complaints, contact information, payments, promotions, refunds, chargebacks, and compliance with applicable laws and regulations.
9. Feedback
Questions, comments, suggestions, ideas, or other feedback provided to the Company are non-confidential and may be used and disseminated by the Company without acknowledgment or compensation.
10. Copyright Complaints
We respect intellectual property rights and prohibit materials that violate the rights of others. Copyright infringement notices should identify the protected work and allegedly infringing material, provide contact information and required statements, and include an authorized signature.

11. Third-Party Services, Other Websites and Content
The Service may link to or provide access to third-party websites, apps, products, brokerage services, or other services. They are not controlled or endorsed by LimeX, and your use of them is at your own risk and subject to their own terms and privacy policies.
LimeX is not responsible for trading, orders, or other activity conducted through brokerage accounts.
12. Advertising
The Service may include advertisements provided by LimeX or third parties. Advertisers and sponsors are responsible for ensuring their materials are accurate and comply with applicable laws.
13. Account Information from Third Party Sites
You may direct LimeX to retrieve information maintained by third parties. By submitting credentials or other information, you authorize LimeX to use and store it to provide the Service and to access the relevant third-party sites on your behalf.
LimeX does not review third-party account information for accuracy, legality, or non-infringement and is not responsible for errors, fees, interruptions, or loss of data arising from third-party products or services.
14. Data and Intellectual Property Ownership
LimeX owns, licenses, or otherwise holds rights in the Service and its content, except for User Content retained by its users. Software, logos, design, text, graphics, data, and their arrangement are protected by intellectual property laws.
15. Restrictions on Content and Use of Service
You agree not to use the Service to:
- engage in unlawful activity or damage, disable, overburden, or impair the Service;
- impersonate another person or misrepresent your identity or affiliation;
- publish private information of third parties or malicious computer code;
- violate securities laws, exchange rules, or other applicable regulations;
- interfere with the Service or impose an unreasonable load on its infrastructure;
- disguise the origin of transmitted information or disclose information you have no right to make available.
16. Privacy
By using the Service, you consent to your personal data being transferred to and processed in the United States. Our collection, use, disclosure, retention, and protection of personal information is governed by the LimeX Privacy Policy.

LIMEX IS NOT A TAX ADVISOR, BROKER, FINANCIAL ADVISOR OR INVESTMENT ADVISOR. THE SERVICE DOES NOT PROVIDE TAX, LEGAL, FINANCIAL OR INVESTMENT ADVICE, AND NOTHING ON THE SERVICE IS AN OFFER, SOLICITATION, OR RECOMMENDATION FOR ANY SECURITY.
Trading can result in substantial losses. You are solely responsible for determining whether an investment, security, strategy, product, or service is suitable for your objectives and financial situation.
18. Other Disclaimers
The Service may be temporarily unavailable and is provided on an "as-is" basis. To the fullest extent permitted by law, the Company disclaims warranties of title, merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, availability, and freedom from harmful components.
LimeX is not a registered broker-dealer and does not endorse or recommend any brokerage company. The broker you select is solely responsible for its services.
19. Limitation on Liability
To the fullest extent permitted by law, the liability of the Company and its affiliates to you is limited to the amount paid by you for the Service during the immediately preceding six months. They will not be liable for indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits or data.
20. Suspension; Termination
If we believe you are abusing the Service, we may limit, suspend, or terminate access, remove hosted content, or take technical and legal steps to prevent further use. The Company may terminate an account or prohibit access at its discretion, including when it believes a user is under 18.
21. Arbitration, Class Action Waiver and Governing Law
You agree to first contact LimeX and make a good-faith effort to resolve disputes informally. Remaining claims may be resolved by binding individual arbitration under the American Arbitration Association rules and the U.S. Federal Arbitration Act.
You and LimeX waive the right to a jury trial or participation in a class action. An individual may opt out of the arbitration agreement by emailing alphabuilder@limex.com within thirty (30) days of first accessing or using the Service.
22. Governing Law
These Terms are governed by New York law, while the Federal Arbitration Act governs the arbitration agreement. Where arbitration does not apply, claims will be resolved exclusively in a state or federal court located in New York City.
23. Indemnity
To the fullest extent permitted by law, you agree to indemnify and hold the Company and its affiliates harmless from claims, losses, liabilities, damages, costs, and expenses arising from your use of the Service, your content, your conduct, or violation of these Terms, law, or third-party rights.
24. Equitable Remedies
The Company may seek appropriate equitable remedies for breaches of these Terms in addition to other remedies available under applicable law.
25. Additional Terms
These Terms constitute the entire agreement regarding use of the Service and supersede prior agreements on that subject. Failure to enforce a provision is not a waiver. If any provision is invalid or unenforceable, the remaining provisions continue in effect.
